Terms & Conditions

These Terms & Conditions ("Terms") govern all business transactions, agreements, and relationships between Gee Global Exim LLP ("we", "our", or "us") and our customers, clients, and partners ("you" or "your"). By engaging our services or placing an order, you accept these Terms in full.

1. Definitions

• "Goods" means all spices, herbs, seeds, grains, pulses, and other agro-commodities supplied by Gee Global Exim LLP.
• "Contract" means the agreement between the Buyer and the Seller for the sale and purchase of Goods, incorporating these Terms.
• "Force Majeure" means events beyond either party's reasonable control including but not limited to acts of God, war, terrorism, labour disputes, pandemics, government actions, crop failures, port closures, and shipping disruptions.

2. Orders and Quotations

• All quotations are valid for 15 days from the date of issue unless otherwise stated in writing.
• Orders are confirmed only upon issuance of a Proforma Invoice and receipt of advance payment or Letter of Credit as agreed.
• We reserve the right to refuse or cancel orders at our discretion, particularly where regulatory or compliance concerns arise.
• Product specifications, grades, and quality parameters are as described in our quotation and subject to customary export tolerances.

3. Pricing and Payment

• All prices are quoted in US Dollars (USD) on FOB (Free On Board), CIF (Cost, Insurance & Freight), or CNF (Cost & Freight) basis as specified in the quotation.
• Payment terms are 30% advance with 70% against shipping documents, or 100% irrevocable Letter of Credit at sight, unless otherwise agreed in writing.
• All banking charges related to Letters of Credit are for the Buyer's account.
• Title and risk of loss pass to the Buyer upon delivery of Goods to the shipping carrier at the port of origin.

4. Quality and Inspection

• All Goods are subject to our quality control procedures and comply with applicable food safety standards including ISO 22000:2018.
• The Buyer may request independent third-party inspection at their own cost prior to shipment. Samples drawn during such inspection shall be the sole admissible evidence of quality.
• Claims regarding quality must be raised in writing within 15 days of arrival at the destination port, accompanied by independent survey report and representative samples.
• We shall not be liable for any deterioration of Goods after shipment due to improper storage, handling, or climatic conditions beyond our control.

5. Packing and Labelling

• Standard export packing is in new polypropylene bags, jute bags, or cartons as per product requirements unless customer-specific packing is agreed.
• Private label packing is available with customer branding, artwork, and labelling as per mutually agreed specifications. Artwork approval must be confirmed in writing before production.
• Customs, phytosanitary, and country-specific labelling requirements shall be complied with based on information provided by the Buyer at the time of order confirmation.

6. Shipping and Delivery

• Delivery dates are estimates only and shall not constitute a contractual obligation. We shall not be liable for any delay in shipment due to Force Majeure, carrier delays, port congestion, or regulatory holds.
• Container loading is performed under our supervision with loading report and photographic documentation provided upon request.
• The Buyer is responsible for arranging and bearing all costs of import clearance, duties, taxes, and local transportation at the destination.

7. Limitation of Liability

• Our total liability arising from any Contract shall not exceed the invoice value of the Goods giving rise to the claim.
• We shall not be liable for any indirect, consequential, or incidental damages including but not limited to loss of profits, business interruption, or loss of goodwill.
• No claim shall be maintained against us unless commenced within six months of the date of shipment.

8. Force Majeure

Neither party shall be liable for failure or delay in performance due to Force Majeure events. If a Force Majeure event continues for more than 60 days, either party may terminate the affected Contract without liability.

9. Confidentiality

Both parties shall treat all business, technical, and financial information exchanged during the course of their relationship as confidential. This obligation shall survive termination of the business relationship for a period of five years.

10. Intellectual Property

All intellectual property rights in customer branding, artwork, and specifications provided to us remain the property of the Buyer. All intellectual property in our product formulations, processing methods, and business systems remain our exclusive property.

11. Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India.
• Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through amicable negotiations within 30 days.
• If negotiation fails, disputes shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Mumbai, India, in the English language.
• The decision of the arbitrator shall be final and binding on both parties.

12. Entire Agreement

These Terms together with the quotation, Proforma Invoice, and any agreed specifications constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
